Wholesale accounts for mounters & businesses

Retailer Responsibilities: Retailer must maintain a current business licence and ABN (or functioning URL or physical store address). Retailer must not in any way alter or adjust any replica medal or badge to obscure the "Replica" or "Copy" markings. Retailer must not misrepresent a replica item as genuine, original or any notation other than "Replica", "Copy" or "Reproduction". Rogaloff Militaria will provide clear representation of each product's standing (Genuine or Replica) and will deliver inventory as agreed, advising of any out-of-stock items and restock ETAs.

Ordering: Upon approval, orders may be placed via phone, email (info@rogaloff.com) or via your unique wholesale login at rogaloffmilitaria.com. Orders are binding once placed, except as provided under Availability & Backorders below. Payment is required prior to shipment unless credit terms have been arranged in advance. Rogaloff Militaria will not process orders for any retailer with an outstanding account.

Minimum Orders: No minimum order quantities are mandated and there is no minimum order value. Price breaks are available for bulk quantities of various items — current pricing is accessible via your wholesale login. All domestic orders include free standard shipping via Australia Post. Domestic orders over $150 receive free express shipping. International orders over AUD $1,000 receive free express shipping. Additional services (Express below the threshold, Signature on Delivery, Insurance) are at the Retailer's expense.

Trade Tiers & Volume Pricing: Wholesale accounts are assigned to a trade tier, each carrying its own discount against retail pricing. Qualifying spend is your total spend over the preceding rolling twelve months, measured on the day of assessment. Qualifying spend excludes GST, excludes freight and handling, and counts only orders paid in full and not cancelled — cancelled and refunded amounts are removed from the total. Orders placed on credit do not count until settled in full. A new tier applies from your next order after you qualify; it does not apply to the order that crosses the threshold, and is not applied retrospectively. If qualifying spend falls below the threshold for your tier the account moves to the tier its spend supports, with no grace period. Tiers are assigned to accounts, are not transferable, and your current position is shown on your account dashboard.

Titanium Accounts: Titanium is an invitation-only tier. It cannot be reached by meeting a spend threshold and is not part of the tier progression above. Titanium accounts are offered at our discretion, typically where a long-standing supply relationship or the scale of purchasing warrants bespoke terms. Pricing, minimum order requirements, freight and payment terms are agreed individually and set out in writing when the account is established; where those written terms differ from this agreement, the written terms prevail. Rogaloff Militaria may withdraw Titanium status on reasonable notice, in which case the account reverts to the tier its purchasing history supports.

Pricing at the Time of Order: The price of an item is fixed at the moment it is added to your cart and is held for seven days. Within that period items keep the price at which they were added, whether list prices move or your tier changes. After seven days, items remaining in your cart are repriced to current pricing at your current tier; nothing is removed from your cart, and a notice will identify any lines affected before you proceed to checkout. To bring an item to current pricing sooner — for example after moving to a higher tier — remove it and add it again. The price shown at checkout is the price you pay.

Payment: All orders are prepaid by default and must be accompanied by credit card payment or bank transfer in full. Visa, MasterCard, Amex, PayPal and direct bank deposit are accepted. Credit accounts and credit terms are offered at our discretion and only by prior written arrangement; where credit has been arranged, the agreed terms govern the timing of payment for that account. Orders placed on credit do not count toward trade tier qualifying spend until the account has been settled in full. All wholesale sales orders are final — back charges are not acceptable.

Availability & Backorders: All orders are subject to availability. We hold stock across our range wherever practical, but some items — ribbons in particular — may be unavailable from time to time. If an item on your order is unavailable we will contact you with a restock ETA, and you may choose to wait for the item, substitute an alternative of equivalent value, or cancel the affected item for a refund. Where the balance of your order is ready we can despatch available items and send the remainder when it arrives, at no additional freight cost to you.

Made-to-Order Items: Made-to-order items are those manufactured, mounted, assembled, cut, engraved, printed or otherwise prepared to your specification after an order is placed — including court and swing mounting, ribbon cut to a specified length, ribbon bar assembly, decal and artwork production, and engraving or naming. Made-to-order items are produced specifically for you, cannot be returned to stock, and cannot be cancelled once production has begun. Where an item is made to order this is identified on the product page and on your order confirmation. We will confirm specifications before beginning production; we produce to the specification confirmed, and errors in a specification you have approved are not grounds for return. Lead times are estimates — if a production run is delayed we will advise as soon as we are aware and offer the options set out under Availability & Backorders.

Delivery & Title: Rogaloff Militaria will arrange delivery to the address provided. Risk passes at the time of delivery. Rogaloff Militaria is not liable for any loss or damage resulting from non-delivery or late delivery for any reason. If an order is delivered short or with incorrect items, Rogaloff Militaria will supply missing items, replace incorrect items, or provide a refund, provided incorrect items are made available for collection. Delivery timeframes are estimates provided by the carrier and are not guaranteed.

Product Representation & Images: Rogaloff Militaria retains all rights to all product images provided and reserves the right to prohibit use of any images. Retailer may only use provided images on their specified website or store for sales purposes. Images may not be used in any other medium, altered (cropped, background changed, text added) beyond appropriate sizing, or used for any purpose other than gaining sales, without prior written consent. Retailer must not engage in any activity that may bring Rogaloff Militaria or its products into disrepute.

Returns & Warranty: Order errors or defects must be reported within 5 business days of receipt. Retailer will not sell a knowingly defective product. If an item is defective in workmanship or materials within 30 days of sale, Rogaloff Militaria will accept a return and offer a full wholesale price refund, credit or replacement. Returns are not accepted for poor sell-through or non-performance. Nothing in this agreement excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law; where that law applies to a supply under this agreement, those rights operate in addition to the remedies set out above.

Pricing Confidentiality: All wholesale pricing is strictly confidential. Retailer must not disclose wholesale pricing, tier discounts or price break schedules to any third party without our prior written consent.

GST & Pricing: All prices are in Australian dollars and are displayed inclusive of GST. Only the GST-exclusive component of an order counts toward a trade tier threshold. All wholesale medal prices exclude ribbon unless stated. Tax invoices are issued for all orders and state that the total price includes GST; export orders are GST-free and are marked accordingly.

Intellectual Property: The term "Intellectual Property" in this agreement refers to trademarks, copyrights, trade secrets, signs and packaging associated with Rogaloff Militaria's products — but not the physical products themselves. Retailer acknowledges that this IP is the sole and exclusive property of Rogaloff Militaria and agrees not to use it except as permitted under this agreement. Copyright of all insignia, both civilian and military, is and remains the property of the Australian (or relevant) Government. Rogaloff Militaria has been granted permission by the Office of the Official Secretary to the Governor General to reproduce insignia and medals within the Australian Honours System.

Modifications & Termination: Rogaloff Militaria reserves the right to modify this agreement at any time with notice. Changes take effect upon notification and are not retroactive. Rogaloff Militaria may terminate a retailer approval at any time without cause upon notice.
