Wholesale accounts for mounters & businesses

Retailer Responsibilities: Retailer must maintain a current business licence and ABN (or functioning URL or physical store address). Retailer must not in any way alter or adjust any replica medal or badge to obscure the "Replica" or "Copy" markings. Retailer must not misrepresent a replica item as genuine, original or any notation other than "Replica", "Copy" or "Reproduction". Rogaloff Militaria will provide clear representation of each product's standing (Genuine or Replica) and will deliver inventory as agreed, advising of any out-of-stock items and restock ETAs.

Ordering: Upon approval, orders may be placed via phone, email (info@rogaloff.com) or via your unique wholesale login at rogaloffmilitaria.com.au. An order submitted by a Retailer is an offer to purchase and becomes binding on Rogaloff Militaria when we accept it by issuing an order confirmation, dispatching the goods, commencing an expressly authorised made-to-order production process, or otherwise confirming acceptance in writing. We may decline an order before acceptance where stock is unavailable, an applicable manufacturing minimum is not met, production is not reasonably feasible, a required approval or lawful supply basis is unavailable, or applicable commercial terms have not been agreed. If payment has been received for an order we decline before acceptance, the amount received for that order will be refunded.

Payment is required prior to shipment unless credit terms have been arranged in advance. Rogaloff Militaria will not process further orders for a Retailer with an undisputed overdue account. A Retailer purchase order is an administrative ordering document only; any additional, standard or incorporated terms on a purchase order do not amend these wholesale terms or bind Rogaloff Militaria unless we expressly accept those terms in writing.

Minimum Orders: There is no general minimum order value and no general account-wide minimum quantity. Individual products, imported items, custom manufacturing runs and made-to-order products may be subject to minimum purchase or production quantities imposed by Rogaloff Militaria or an upstream manufacturer. Any applicable minimum will be shown on the product, advised at quotation stage or otherwise notified before the relevant order is accepted. A Retailer is not obliged to proceed with an order where it does not accept the notified minimum, and Rogaloff Militaria is not obliged to accept or commence production of an order that does not meet the applicable minimum.

Price Breaks: Price breaks are available for bulk quantities of various items — current pricing is accessible via your wholesale login.

Trade Tiers & Volume Pricing: Wholesale accounts are assigned to a trade tier, with Bronze, Silver, Gold and Platinum carrying an additional discount against our Standard trade pricing. Qualifying spend is the total of your qualifying orders over the preceding rolling twelve months, measured on the day of assessment. Qualifying spend is measured inclusive of GST, on the value of goods before any trade-tier discount, and excludes freight and handling; GST-free export orders are counted at their value plus 10%, so export and domestic purchasing accrue at the same rate. Only orders paid in full and not cancelled are counted — cancelled and refunded amounts are removed from the total. Orders placed on credit do not count until settled in full. A new tier applies from your next order after you qualify; it does not apply to the order that crosses the threshold, and is not applied retrospectively. If qualifying spend falls below the threshold for your tier, trade pricing moves to the tier that spend supports, applied as described under Pricing at the Time of Order. Tiers are assigned to accounts, are not transferable, and your current position is shown on your account dashboard.

The benefits and discount structures applicable to Standard, Bronze, Silver, Gold and Platinum accounts do not establish or determine the commercial terms applicable to a Titanium account.

Titanium Accounts: Titanium is an invitation-only tier. It cannot be reached by meeting a spend threshold and is not part of the standard tier progression above. Titanium status may be offered at our discretion where the nature, scale or history of a supply relationship warrants individually negotiated commercial terms. Pricing, minimum order requirements, freight, payment terms and any additional handling or fulfilment services are agreed individually and confirmed in writing for each Titanium account. Standard trade-tier benefits do not automatically apply to Titanium accounts unless expressly included in those agreed terms. Where the individually agreed Titanium terms differ from this agreement, those terms prevail. Rogaloff Militaria may review or withdraw Titanium status on reasonable notice, in which case the account will revert to the standard trade tier supported by its qualifying purchasing history.

Freight & Shipping Costs: All domestic orders under our Standard, Bronze, Silver, Gold and Platinum trade tiers include free standard shipping via Australia Post. Domestic orders over $150 within those tiers receive free express shipping. International orders over AUD $1,000 receive free express shipping. Additional services (Express below the threshold, Signature on Delivery and Insurance) are at the Retailer's expense.

Titanium accounts operate under individually agreed commercial terms and do not automatically receive the freight benefits applicable to our Standard, Bronze, Silver, Gold and Platinum tiers. Freight arrangements for Titanium accounts are confirmed as part of the account's bespoke terms.

Pricing at the Time of Order: The price of an item is fixed at the moment it is added to your cart and is held for seven days. Within that period items keep the price at which they were added, whether list prices move or your tier changes. After seven days, items remaining in your cart are repriced to current pricing at your current tier; nothing is removed from your cart, and a notice will identify any lines affected before you proceed to checkout. To bring an item to current pricing sooner — for example after moving to a higher tier — remove it and add it again. The price shown at checkout is the price you pay.

Payment: All orders are prepaid by default and must be accompanied by credit card payment or bank transfer in full. Visa, MasterCard, Amex, PayPal and direct bank deposit are accepted. Credit accounts and credit terms are offered at our discretion and only by prior written arrangement; where credit has been arranged, the agreed terms govern the timing of payment for that account. Orders placed on credit do not count toward trade tier qualifying spend until the account has been settled in full. All wholesale sales orders are final — back charges are not acceptable.

Availability & Backorders: All orders are subject to availability. We hold stock across our range wherever practical, but some items — ribbons in particular — may be unavailable from time to time. If an item on your order is unavailable we will contact you with a restock ETA, and you may choose to wait for the item, substitute an alternative of equivalent value, or cancel the affected item for a refund. Where the balance of your order is ready we can despatch available items and send the remainder when it arrives, at no additional freight cost to you.

Made-to-Order Items: Made-to-order items are those manufactured, mounted, assembled, cut, engraved, printed or otherwise prepared to your specification after an order is placed — including court and swing mounting, ribbon cut to a specified length, ribbon bar assembly, decal and artwork production, and engraving or naming. Made-to-order items are produced specifically for you, cannot be returned to stock, and cannot be cancelled once production has begun. Where an item is made to order this is identified on the product page and on your order confirmation. We will confirm specifications before beginning production; we produce to the specification confirmed, and errors in a specification you have approved are not grounds for return. Lead times are estimates — if a production run is delayed we will advise as soon as we are aware and offer the options set out under Availability & Backorders.

Special Manufacture, Tooling and Setup Charges: Some made-to-order or newly manufactured products may require tooling, mould, die, setup, sampling, artwork, development or other production charges. Unless we expressly agree otherwise in writing before the charge is incurred, payment of such a charge does not transfer ownership of any physical tooling, mould, die, pattern, artwork, design, manufacturing method or intellectual property to the Retailer. Tooling or production assets may remain the property of Rogaloff Militaria, the manufacturer or another third party.

Where a Retailer requires ownership of specific tooling or bespoke intellectual property, this must be expressly agreed in writing before work begins, including the item being transferred, the transfer price (if any), permitted use and any applicable exclusivity.

Non-Exclusivity and Product Development: Wholesale supply is non-exclusive unless Rogaloff Militaria expressly agrees otherwise in a separate written agreement identifying the relevant product, territory and duration of exclusivity. Requesting a product, providing a reference sample, being the first Retailer to order a product, contributing to a tooling or production charge, or marketing products as a set does not create exclusivity or ownership.

Rogaloff Militaria may supply the same or similar standard products, government or third-party designs, medals, badges, ribbons, insignia and product configurations to other customers where we are otherwise lawfully entitled to do so. A Retailer does not acquire rights in Government, third-party or Rogaloff Militaria intellectual property merely by purchasing or requesting such products.

Delivery & Title: Rogaloff Militaria will arrange delivery to the address provided. Risk passes at the time of delivery. Rogaloff Militaria is not liable for any loss or damage resulting from non-delivery or late delivery for any reason. If an order is delivered short or with incorrect items, Rogaloff Militaria will supply missing items, replace incorrect items, or provide a refund, provided incorrect items are made available for collection. Delivery timeframes are estimates provided by the carrier and are not guaranteed.

Product Representation & Images: Rogaloff Militaria retains all rights to all product images provided and reserves the right to prohibit use of any images. Retailer may only use provided images on their specified website or store for sales purposes. Images may not be used in any other medium, altered (cropped, background changed, text added) beyond appropriate sizing, or used for any purpose other than gaining sales, without prior written consent. Retailer must not engage in any activity that may bring Rogaloff Militaria or its products into disrepute.

Returns & Warranty: Order errors or defects must be reported within 5 business days of receipt. Retailer will not sell a knowingly defective product. If an item is defective in workmanship or materials within 30 days of sale, Rogaloff Militaria will accept a return and offer a full wholesale price refund, credit or replacement. Returns are not accepted for poor sell-through or non-performance. Nothing in this agreement excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law; where that law applies to a supply under this agreement, those rights operate in addition to the remedies set out above.

Pricing Confidentiality: All wholesale pricing is strictly confidential. Retailer must not disclose wholesale pricing, tier discounts or price break schedules to any third party without our prior written consent.

GST & Pricing: All prices are in Australian dollars and are displayed inclusive of GST. Qualifying spend toward a trade tier threshold is measured inclusive of GST, as set out under Trade Tiers & Volume Pricing. All wholesale medal prices exclude ribbon unless stated. Tax invoices are issued for all orders and state that the total price includes GST; export orders are GST-free and are marked accordingly.

Intellectual Property: The term "Intellectual Property" in this agreement refers to trademarks, copyright, designs, trade secrets, know-how, signs, packaging, product images and other proprietary materials owned or controlled by Rogaloff Militaria, but does not mean that Rogaloff Militaria owns intellectual property in every physical product it supplies. Each intellectual property right remains with its lawful owner.

Copyright and other rights in insignia, medals, badges and emblems may be owned or controlled by the Australian or relevant Government or another third party. Rogaloff Militaria manufactures and supplies such products only where it considers it has an appropriate lawful basis to do so. The existence or terms of any government, manufacturer or third-party approval, permission, licence, authorisation or commercial arrangement may be confidential and Rogaloff Militaria is not obliged to disclose those arrangements to a Retailer except where required by law. A Retailer does not acquire ownership, exclusivity or a sublicense under such arrangements merely by purchasing a product.

Rogaloff Militaria retains its rights in its own product images, staged photography, artwork, templates, know-how and other independently developed materials. Retailers may use supplied images only as permitted under the Product Representation & Images section or other written permission.

The wholesale application includes a separate, optional consent to be contacted by phone or email about the account, new stock and seasonal trade offers. This consent is not a condition of approval. Where it is given, it is recorded against the account with the date and time it was given. Without it, contact is limited to what is needed to administer the account and supply orders — such as the application outcome, order confirmations, dispatch notices, invoices and notice of changes to these terms. Consent may be withdrawn at any time by using the unsubscribe link in any marketing email, by asking during a call, or by writing to privacy@rogaloff.com. Contact details are not sold or rented, and are handled in accordance with the privacy policy.

Product Range and Special Production: Rogaloff Militaria may add, withdraw or change products offered for future orders and is not required to commence a new manufacturing run or source a discontinued, unavailable or non-stocked product merely because it has previously supplied that product. This does not affect an order already accepted, except as provided under Availability & Backorders or where performance becomes unlawful or impossible for reasons outside Rogaloff Militaria's reasonable control.

Modifications & Termination: Rogaloff Militaria reserves the right to modify this agreement at any time with notice. Changes take effect upon notification and are not retroactive. Rogaloff Militaria may terminate a retailer approval at any time without cause upon notice.
